Amendment to the Rules of Procedure | Legal Aid Office
Questioner
Ls, I am a co-board member of a bridge club. Our statutes state the following; 'Management functions Article 8 The board must consist of at least a chairman, who is elected by the general meeting, a vice-chairman, a secretary, a treasurer and a competition leader. A board member can have more than one function.' Now WL (match leader) is quite a loaded function for the club. He must of course be quite well versed in the game and as co-manager co-manage the club concerning match regulations etc. As well as solving arbitration problems. Now it is a board member WL who knows quite a bit about it with as backup a committee with people who know much more about arbitration and can give advice. Not a bad solution I think. The chairman now wants to propose amending the Rules of Procedure to state that a WL does not have to come from the board. Is this allowed? Aren't we as a board in conflict with our own statutes? What if 1 board member does not agree with this? Awaiting reply, Kind regards, A.Lawyer
It is possible to amend the articles of association, but this must be done with the approval of the board members by means of a declaration of consent.Neem de volgende stap
