You are not obliged to do anything, but the owner-landlord may expect the new tenant to provide sufficient guarantees for compliance with the lease agreement and for proper business operations. Since the substitution is linked to the transfer by you of the company you rented, the status of the company is, in my opinion, relevant to the lessor. You are the one who can, if necessary, demand substitution through the courts on behalf of the buyer of your company in the rental property, so you will have to reach an agreement with the landlord (if you do not wish to take legal action) so that he or she accepts the proposed new tenant.
