Termination of Cooperation Agreement - Legal Advice

Questioner

Hello, I have entered into a cooperation agreement with a sole proprietorship as a private individual since April 1st, since the company has not adhered to the agreements I want to terminate the cooperation agreement. However, the sole proprietorship has now been converted into a private limited company, is the way for me to terminate the agreement easier? In my opinion, because the sole proprietorship has been dissolved and the private limited company is another legal entity, I have no agreement with the private limited company. Is this correct? I look forward to hearing from you, thank you in advance, mvrGr

Hello, After the conversion, an agreement remains between you and the owner of the sole proprietorship. Only with your approval can the agreement be changed in the sense that you have a contract with the BV. So the conversion has not changed much. The text and/or interpretation of the contract will have to show whether and how you can put an end to it.
